NON-DISCLOSURE AGREEMENT (NDA)

1. Purpose

• The Disclosing Party agrees to provide access to certain confidential and proprietary information regarding Click Insurance Broker for the purpose of evaluating potential investment or business collaboration (“Purpose”). The Receiving Party agrees to maintain confidentiality and not disclose or misuse the information.
• คู่สัญญาฝ่ายเปิดเผยตกลงที่จะให้สิทธิ์ในการเข้าถึงข้อมูลลับและข้อมูลที่เป็นกรรมสิทธิ์ของบริษัท Click Insurance Broker เพื่อวัตถุประสงค์ในการประเมินการลงทุนหรือความร่วมมือทางธุรกิจ (“วัตถุประสงค์”) คู่สัญญาฝ่ายรับข้อมูลตกลงที่จะรักษาความลับและไม่เปิดเผยหรือใช้ข้อมูลโดยมิชอบ
  
  

2. Definition of Confidential Information

• Confidential Information” includes but is not limited to:

• • Business plans, financial projections, investor reports

  • Customer databases, marketing strategies

  • Technical documents, software code, system architecture

  • Any files, documents, or data shared via WordPress, email, cloud storage, or other digital platforms

• “ข้อมูลลับ” หมายถึงข้อมูลที่รวมถึงแต่ไม่จำกัดเพียง:

  • แผนธุรกิจ, การคาดการณ์ทางการเงิน, รายงานนักลงทุน

  • ฐานข้อมูลลูกค้า, กลยุทธ์การตลาด

  • เอกสารทางเทคนิค, รหัสซอฟต์แวร์, โครงสร้างระบบ

  • ไฟล์, เอกสาร หรือข้อมูลที่แบ่งปันผ่าน WordPress, อีเมล, ระบบจัดเก็บข้อมูลออนไลน์ หรือช่องทางดิจิทัลอื่น ๆ

3. Obligations of Receiving Party

• The Receiving Party agrees to:
  

  • Keep all Confidential Information strictly confidential

  • Not disclose or distribute the Confidential Information to any third party without written consent from the Disclosing Party

  • Use the Confidential Information only for the Purpose stated above

  • Take reasonable steps to prevent unauthorized access or misuse

• คู่สัญญาฝ่ายรับข้อมูลตกลงว่า:

  • จะรักษาข้อมูลลับทั้งหมดไว้เป็นความลับอย่างเคร่งครัด

  • จะไม่เปิดเผยหรือแจกจ่ายข้อมูลลับให้บุคคลที่สามโดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษรจากฝ่ายเปิดเผย

  • จะใช้ข้อมูลลับเพื่อวัตถุประสงค์ที่ระบุไว้เท่านั้น

  • จะดำเนินมาตรการที่เหมาะสมเพื่อป้องกันการเข้าถึงหรือการใช้งานโดยไม่ได้รับอนุญาต

4. Non-Circumvention

• The Receiving Party agrees not to use the Confidential Information to circumvent or bypass the Disclosing Party in any current or future business opportunities or contacts introduced by the Disclosing Party
• คู่สัญญาฝ่ายรับข้อมูลตกลงว่าจะไม่ใช้ข้อมูลลับเพื่อหลีกเลี่ยงหรือลัดขั้นตอนคู่สัญญาฝ่ายเปิดเผยในการติดต่อธุรกิจหรือโอกาสทางธุรกิจใด ๆ ที่ได้รับการแนะนำจากฝ่ายเปิดเผย ไม่ว่าปัจจุบันหรือในอนาคต
  
  

5. Exceptions to Confidentiality

• These obligations do not apply to information that:

  • Becomes public through no fault of the Receiving Party

  • Was obtained lawfully from a third party

  • Was independently developed without use of Confidential Information

  • Is required by law or by any governmental or other regulatory
    authority acting within the scope of its powers to be disclosed
    
    
• ข้อผูกพันนี้ไม่ครอบคลุมถึงข้อมูลที่:

  • กลายเป็นข้อมูลสาธารณะโดยไม่ใช่ความผิดของฝ่ายรับ

  • ได้รับมาโดยชอบจากบุคคลที่สาม

  • ได้รับการพัฒนาอย่างอิสระโดยไม่ได้ใช้ข้อมูลลับ

  • ต้องเปิดเผยตามกฎหมาย หรือมีการร้องขอจากหน่วยงานของรัฐบาลหรือหน่วยงานกำกับดูแลอื่นใดที่ดำเนินการภายในขอบเขตอำนาจของหน่วpงานดังกล่าว
    
    

6. Term and Termination

• This Agreement remains in effect for 2 years from the Effective Date. Upon request or end of discussions, the Receiving Party must return or destroy all Confidential Information.
• ข้อตกลงฉบับนี้มีผลบังคับใช้เป็นระยะเวลา 2 ปี นับจากวันที่มีผลใช้บังคับ เมื่อมีการร้องขอหรือการสิ้นสุดการหารือ คู่สัญญาฝ่ายรับต้องคืนหรือทำลายข้อมูลลับทั้งหมด
  
  

7. No License or Ownership

• This Agreement does not grant rights or ownership over any Confidential Information.
• ข้อตกลงนี้ไม่มีผลให้สิทธิ์หรือกรรมสิทธิ์ใด ๆ เกี่ยวกับข้อมูลลับแก่คู่สัญญาฝ่ายรับ
  
  

8. Legal Remedies

• The Disclosing Party has the right to seek legal remedies, including injunctive relief, in the event of breach.
• ฝ่ายเปิดเผยมีสิทธิ์ในการดำเนินการทางกฎหมายรวมถึงการขอคำสั่งศาลหากเกิดการละเมิด
  
  

9. Governing Law

• This Agreement shall be governed by the laws of Thailand.
• ข้อตกลงฉบับนี้อยู่ภายใต้กฎหมายแห่งราชอาณาจักรไทย
  
  

10. Acceptance & Agreement

• By accessing the Confidential Information via WordPress, email, or other platforms, the Receiving Party agrees to all terms above.
• โดยการเข้าถึงข้อมูลลับผ่าน WordPress, อีเมล หรือแพลตฟอร์มอื่น ๆ คู่สัญญาฝ่ายรับตกลงยอมรับข้อตกลงตามที่ระบุไว้ทั้งหมด
